Conditions term :
Contract
Duration : Twelve (12) months with rollovers and
extensions as agreed upon by both parties. Extension up to sixty (60) months is possible.
Inspection : By SGS or equivalent Survey company
Confirmation : The order is confirmed after the Seller receives and accepts the IRREVOCABLE CONFIRMED PURCHASE ORDER (ICPO) or LETTER OF
INTENT (LOI) & RWA
BANK COMFORT LETTER (BCL) from
the Buyers bank.
BCL must be signed by a Bank Officer on Bank letterhead, and
sent to the Seller.
ICPO or LOI with full banking info and soft
probe authorization (SPA) may be acceptable.
Buyers
Documentation : Permit to Import, Signed
End User Allocation and Import License from the authorities to enter the Terminal. Other to be determined during negotiation.
Price
(Fixed) : Fix Price Sheet will be sent
to Buyer upon BCL or Soft Probe verification.
CLAUSE 6 - PRICE
6.1 The price shall be determined to be the average of the 3 (Three) days around the B/L (Bill of Lading) date, PLATT'S GASOIL MARKET WIRE CIF for the appropriate delivery Port, less discount 8-12 % Per MT on a ship by ship basis, paid by the Buyer. All remaining cost of all product, at all times, during each 12 (twelve) month contract, shall be paid internally by the Supplier.
6.2 The Buyer nominates the discharge ports as ASWP (Any Safe World Port - non USA embargoed World Port).
6.3 The Performance Bond as referred to in this Contract shall be calculated as 2% (Two percent) of the face value of the Financial Instrument(s) issued pursuant to Clause 7.1 below.
Perpormance
Bond : The Seller will issue a 2% (two percent) Performance Bond of one Monthly lot delivery in favor of the Buyer as
per the terms of the contract.
Proof
of Product (POP) : Proof of product will be issued to the end buyer after Proof of Funds (POF) verification
Trial Shipments : Trial Shipments are obligatory for new clients.
Procedure:
1. After see Our SCO, Buyer issues an ICPO or LOI
with right to SPA (Soft Probe Authorization) + (Includes the NCNDA IMFPA with all the parties
involved). SPA (Soft Probe Authorization) must be with buyer bank’s seal and signature.
2. End Seller issues Full Corporate Offer (FCO),
agents do not hide the name of the End seller.
3. Buyer signs and return Full Corporate Offer
with a Letter of Acceptance to End Seller Via Email agents
4. End Seller issues draft contract initials on
every page, signs and seals and sends it to the Buyer's for Buyer's signature
and seal (with amendments if any). End Seller signed NCNDA IMFPA too.
5. Buyer counters sign and seal the draft
contract and sends via email to the End Seller, then send back to end seller with BCL (POF
(Proof of Funds))
6. After POF
(Proof of Funds)/SPA has been identified or verified, End Seller's bank
issues to Buyer's bank the Proof of Product (POP).
8. End Seller's bank shall notify the Buyer's
bank that they are willing and ready to issue a non-operative 2% performance
bond (PB) to the Buyer's bank after BG/SBLC/DLC already active.
9. Delivery commences as per contract and the
shipment should arrive at Buyer's discharge port within 10 - 30 days the “BG or
DLC or SBLC” have been confirmed by the End Seller's bank.

ports in the world with CIF/CFR Payment.

an official Letter of Intent to us, send your certainty that funds is ready (SPA (SOFT PROBE AUTHORIZATION) / RWA BANK COMFORT LETTER (BCL) or
your SBLC) and coordinates of your country port.
